II.2.4) Description of the procurement
The Council is seeking to appoint a Single Contractor under a UK wide public sector Framework Agreement to assist with the development of new and the redevelopment of existing Leisure / Sports related facilities and services. The appointed Developer will be a Leisure specialist who have a successful and demonstrable track record of delivering Sports Health and Well Being within the Public Sector.
Potential bidders should note that Consortium bids will be accepted for this agreement but it is expected that the appointed Contractor will be a specialist in the field of Leisure Service provision.
The scope of the works and services to be delivered within this framework agreement is as follows:

This specification relates to a framework (the Framework) under which Denbighshire County Council, (The Council) intend to deliver works in connection with but not limited to the design, construction and development of Leisure Centres (e.g. sports halls, swimming pools, fitness suites, studios, all weather pitches, changing facilities, spectator facilities), Theatres, Play facilities, Recreation facilities and Sports Facilities across the UK public sector (the Contract Area).

In order for the Council to consider any tender bids the potential contractor needs to demonstrate that they have the technical capability and track record of having delivered within the last 5 years leisure development projects as a lead development partner which consists of design, construction, funding, sales and marketing support and income share. Lead leisure development partner must demonstrate that they have actually delivered the above scope as the lead legal entity/consortium in their own right as opposed to be a sub-partner on similar projects.

The framework agreement will also be made available to ALL UK public sector organisations as identified below. This shall also include any Leisure Trusts and/or Mutual Arm’s length limited companies that are associated with any UK public sector Authorities, or any other Private Limited Companies that are operating leisure facilities on behalf of a UK Public Sector client organisation.
The expected duration of any framework agreement will be 4 years.
The potential value of the framework will be 750,000,000 GBP over the lifetime of the agreement. These figures are exclusive of VAT.
Interested providers should note that as this will result in the establishment of a framework agreement there is no guarantee of any work arising from a subsequent agreement.

Please note we are seeking to appoint a leisure development partner who deliver all aspects of the services required. We are not seeking bids or expressions of interest from organisations who can only deliver part of the services required e.g. design only, construct only, finance only or equipment only.

The Contractor shall ensure that all contracts with Subcontractors and Suppliers which the Contractor intends to procure following the Award date, and which the Contractor has not, before the date of this Contract, already planned to award to a particular Subcontractor or Supplier, are advertised through the Sell2Wales portal (www.sell2wales.co.uk) and awarded following a fair, open, transparent and competitive process proportionate to the nature and value of the contract.
Under the terms of this contract the successful supplier(s) will be required to deliver Community Benefits in support of the authority’s economic and social objectives. Accordingly, contract performance conditions may relate in particular to social and environmental considerations. The Community Benefits included in this contract are:
Where the requirement is for a Welsh Public Sector Body then the prime contractor will be expected to comply with the Welsh Government requirements for Community Benefits for any project exceeding 1,000,000 GBP in value.
The Contractor within the Framework Agreement will set out the overarching "Community Benefits" that will apply to both the Framework and the Building Contracts entered into pursuant to the same. However, in order to allow for flexibility in this approach, each Project will be set targets that are scaled appropriately and will be discussed and agreed with the appointed Contractor in order to meet the overarching targets for the locality of the project.
Delivering "Community Benefits" is at the heart of the Council and Client Authorities collaborative procurement approach and commitment to contributing to the social, economic and environmental well-being of the Contract Area.

VI.4.3) Review procedure
Precise information on deadline(s) for review procedures:
The contracting Authority will incorporate a minimum 10 calendar day standstill period(or 15 days where non-electronic or fax methods are used) at the point that an award decision is communicated to tenderers. The award decision notice will specify the criteria for the award of the contract/framework agreement, the reasons for the decision, including the characteristics and relative advantages, the name and score of the successful tender: and will specify when the standstill period is expected to end or the date before which the contracting authority will not conclude the contract/framework agreement. If an appeal regarding the award of a contract has not been successfully resolved, the Public Contracts (Amendment) Regulations 2009 provide for aggrieved parties who have been harmed or at risk of a breach of the rules to take action in the High Court (England, Wales and Northern Ireland)
Any such action must be brought promptly (generally within 30 days)
The court may order the setting aside of the award decision or may order the Contracting Authority to amend any document and may award damages. If a framework agreement has been entered into the Court may make a declaration of ineffectiveness or may order that the duration of any relevant specific contract be shortened and additionally may award damages. The time limit for seeking such a declaration is generally 30 days from notification of the award (either by award decision notification or contract award notice depending upon the circumstances).
